1.      About Us

The operator of this Natroceutics Online Store and your contracting partner is Natroceutics UK Ltd, a limited liability company registered in England and Wales under company number 15734456, (“Natroceutics” or “us, we, our”), a member of the Natroceutics Group. Registered Office: Unit 13, Watford Metro Centre, Dwight Road Watford, Herts, United  Kingdom.

2.      Definitions  

“Account”	means an account required to access certain features on our Site
“Contact Tools”	means any online communications facility that we make  available on our Site enabling you to contact us, including, but not limited to, contact forms and live chats
“Content”	means any and all text, images, audio, video, scripts, code, software, databases, and any other form of information capable of being stored on a computer or other device that appears on, or forms part of, our Site
“Site”	means our website available at www.uk.natroceutics.com
“User”	means a user of our Site
“User Content”	means a user’s reviews, comments or information shared by the User on our Site

3.      Communications With Us

3.1.                 We monitor any and all communications made using our Contract Tools.

 

3.2.                 Any personal information sent to us, whether via our Contact Tools or otherwise will be collected, used and held in accordance with your rights and our obligations under the data protection law, as set out in our Privacy Notice.

 

3.3.                 When using our Contact Tools or contacting us by any other means, the following applies, and you must not communicate, submit, or otherwise do anything that:

 

3.3.1.                                   Is sexually explicit;

 

3.3.2.                                   In any way sexualises minor (including, but not limited to, child sexual abuse material);

 

3.3.3.                                   Promotes violence, or  encourages, incites, or supports acts of terrorism;

 

3.3.4.                                   Promotes or assist in any form of unlawful activity;

 

3.3.5.                                   Bullies, insults, intimidates, or humiliates another person;

 

3.3.6.                                   Discriminates against or is in any way defamatory of, any person, group, or class of persons; race; nationality; gender; gender identity; sexual orientation; religious or philosophical beliefs; disability; or age;

 

3.3.7.                                   Is intended or otherwise likely to threaten, harass, annoy, alarm, inconvenience, upset or embarrass another person;

 

3.3.8.                                   Is calculated or otherwise likely to deceive;

 

3.3.9.                                   Is intended or otherwise likely to infringe (or threaten to infringe) another person’s right to privacy or otherwise use their personal information in a way that you do not have a right to;

 

3.3.10.                             Is misleading, impersonates any person or otherwise misrepresents your identity or affiliation in a way that is calculated to deceive;

 

3.3.11.                             Implies any form of affiliation with us or any other party where there is none;

 

3.3.12.                             Infringes, or assist in the infringement of, the intellectual property rights (including but not limited to, copyright, designs, patents, trademarks and database rights) belonging to us or any other party;

 

3.3.13.                             Is in breach of any legal duty owed to another party, including but not limited to, contractual duties and duties of confidence.

4.      Use of our Site

 

 

4.1.                    Access to our site is free of charge. It is your responsibility to make the arrangements necessary in order to access our site.

 

4.2.                    Access to our Site is provided on an “as is” and on an “as available” basis. We may suspend or discontinue our Site (or any part of it) at any time. We do not guarantee that our Site will always be available or that access to it will be uninterrupted.

 

4.3.                    Nothing in these Terms of Use or any material on our Site constitutes medical advice, and each user must consult with their own medical practitioner before purchasing any of our products.

5.      Changes to these Terms of Use 

5.1.                   We may alter these Terms of Use, or any part, at any time. If we do so, details of the changes will be highlighted at the top of this page, and we will inform you by email. Any changes made to these Terms of Use will apply to your use of our Site the first time you use it after the changes have been implemented. You are advised to check this page every time you use our Site.

 

5.2.                   If any part of the current version of these Terms of Use conflicts with any previous version(s), the current version shall prevail unless we explicitly state otherwise.

 

6.      Accounts 

6.1.                   Our Site is intended for users in the United Kingdom only. We do not warrant or represent that our Site or its contents are available in other locations or are suitable for use in your territory. 

 

6.2.                   We may require an Account for certain features to be available, including the ability to purchase products from us. Only Users 16 years old or above may create an Account with us.

 

6.3.                   When creating an Account, the information you provide must be accurate and complete. If any information you provide us changes, it is your responsibility to ensure that your Account is kept up to date.

 

6.4.                   We recommend that strong passwords be used for your Account, consisting of a combination of lowercase, uppercase letters, numbers, and symbols.

 

6.5.                   It is your responsibility to keep your Account details safe. If you believe that your Account is being used by someone else without your permission, change your password immediately and/or contact us. You agree not to use another person’s Account without their permission.

 

6.6.                   All personal information provided by you in your Account will be collected, used, and held in accordance with your rights and our obligations under the applicable data protection law, as set out in our Privacy Notice.

 

6.7.                   If you wish to delete your Account, you may do so at any time. If you delete your Account, you will no longer have access to the features on our Site requiring an Account. 6.8.                   If you delete your Account, any User Content that you have shared on our Site will also be deleted.

 

6.9.                   We may disable your Account if, in our reasonable opinion, you have breached these Terms of Use.

7.      Use of our Site and Content  (Intellectual Property)

 

7.1.                 With the exception of User Content, all Content included on our Site and the copyright and other intellectual property rights in that Content belong to or have been licensed by us, unless specifically labelled otherwise. All Content (including User Content) is protected by applicable United Kingdom and international property laws and treaties.

 

7.2.                 Users retain the ownership of the copyright and all other intellectual property rights in their User Content (except where any part of any User Content is owned by a third party, in which case, Users must obtain express permission for such material used in their User Content).

 

7.3.                 You may access, view, and use our Site in a web browser (including any web browsing capability built into other types of software or apps), and you may download our Site (or any part of it) for caching (this usually occurs automatically).

 

7.4.                 You may print one copy and download extracts of any page(s) from our Site for personal use only.

 

7.5.                 You may not otherwise modify the printed copies, downloaded extracts, or downloaded or saved Content in any way. Images, video, audio, or any other Content downloaded from our Site must not be used separately from the accompanying text.

 

7.6.                 You may not use any Content (including User Content) from our Site for commercial purposes without first obtaining a license from us. For the avoidance of doubt, this does not prevent the normal access, viewing, and use of our Site for general information purposes by business Users or consumers.

 

7.7.                 Our status as the owner and author of the Content on our Site, or that of the identified licensors or Users, must always be acknowledged. Nothing in these Terms of Use limits or excludes the provisions of the Copyrights, Designs, and Patents Act 1998.

8.      User Content   

8.1.                   We acknowledge that User Content published on our Site includes Users’ reviews, comments, and personal information.

 

8.2.                   An Account is required for the submission of User Content to our Site. All User Content and communications with other Users via or on our Site must comply with the requirements set out in these Terms of Use. You warrant that you will comply with these Terms of Use to the fullest extent permissible by law, and hereby indemnify and hold us harmless for any breach of your warranty. You will be responsible for any direct, indirect, punitive, general, consequential, or other loss or damage suffered by us as a result of such a breach. 

 

8.3.                   We are not responsible for any loss of User Content submitted to our Site. It is your sole responsibility to secure and backup your User Contents. All User Content is considered non-confidential.

 

8.4.                   We may reject, reclassify, or remove any User Content from our Site where, in our sole opinion, it violates our Terms of Use.

 

8.5.                   We have the right to disclose your identity to a third party if that third party claims that any User Content submitted by you infringes their intellectual property rights (including, but not limited to, copyright) or their right to privacy.

 

8.6.                   User Content is not approved or verified by us before it is displayed on our Site. The opinions, views, and values expressed in User Content on our Site are those of the relevant Users and do not represent our opinions, views, or values.

 

8.7.                   If you wish to make a complaint about any User Content, please contact us using the details provided above.

 

8.8.                   If you wish to remove User Content, you may do so by deleting it from your Account, or by deleting your comment or review. In any other instance, you can contact us for assistance. Please note that caching or reference to your User Content may not be made unavailable immediately and may not be made unavailable where they are outside of our reasonable control.

 

8.9.                   User Content on our Site and the copyright and other intellectual property rights in that User Content, unless specifically labelled otherwise belongs to or has been licensed by the User identified along with that User Content. All User Content is protected by applicable United Kingdom and international intellectual property laws and treaties.

 

8.10.              You and/or your licensors hereby retain the ownership of your User Content and all associated intellectual property rights. When you submit User Content to our Site, you grant us an unconditional, non-exclusive, fully transferrable, royalty-free, perpetual, worldwide license to use, store, achieve, syndicate, publish, transmit, adapt, edit, reproduce, distribute, prepare, derivative works from, display, perform, and sub-license your User Content to the extent necessary to operate and promote our Site. Users and/or your licensors also grant each other the right to copy and quote their User Content within our Site for the purpose of access, review and use of our Site.  

 

9.      No Scraping, Text or Data Mining 

9.1.                   We do not permit you in any way whether directly or indirectly to, undertake, enable, permit, authorise, or facilitate any form of web scraping or text or data mining on or with respect to any part of our Site.

 

9.2.                   You must not use any part of our Site or any data, Content or information on our Site, for the purposes of developing or training artificial intelligence (“AI”) models or systems.

 

9.3.                   The prohibition set out in this clause, covers all purposes for which such activities may be carried out including, but not limited to, the development or training of AI models or systems. Which may include, without limitation:

 

9.3.1.                       Any bot, robot, scraper, spider, or other automated system, software, algorithm, code, process, tool, or methodology used to access, obtain, copy or republish any data, Content or information included on our  Site; and any automated techniques designed to analyse digital text or data in order to generate information or to develop or train AI models or systems.  The provisions of this clause shall apply to the fullest extent permissible by law.

 

 

10.               Our Site Links

 

10.1.              You may only link to the homepage of our Site. Linking to other pages on our Site requires our prior written consent. Links to our Site must be fair and lawful. You must not take unfair advantage of our reputation, or in any way misrepresent our products, or attempt to damage or harm our reputation, and that of our Users.

 

10.2.              You must not link to our Site in a manner that suggests any association with us (where there is none) or any endorsement or approval from us (if there is none).

 

10.2.1.                       No link to our Site may use any logos or trademarks, or other intellectual property displayed on our Site without our express written consent.

 

10.2.2.                       Our Site may not be framed or embedded on another website without our express written consent.

 

10.2.3.                       You must not link to our Site from another website the main content of which is unlawful; obscene; offensive; inappropriate; dishonest; defamatory; threatening; racist, sexist, or otherwise discriminatory; that promotes violence, racial hatred, or terrorism; that infringes intellectual property rights; or that we deem to be otherwise objectionable.

 

10.3.              Links to other websites may be included on our Site. Unless expressly stated, these other websites are not under our control. We accept no responsibility or liability for the content of third-party websites. The inclusion of a link to another website on our Site is for information purposes only and does not imply any endorsement of that website or of its owners, operators, or any other parties involved with it.

11.               Disclaimers 

11.1.              Nothing on our Site constitutes medical or professional advice on which you should rely. Our Site is provided for general information purposes only. It is your responsibility to seek professional medical advice before obtaining, purchasing or using our products advertised on our Site.

 

11.2.              We take reasonable efforts to ensure that our Content on our Site is complete, accurate, and up to date, but to the extent permitted by law, we make no warranties, representations, or guarantees (express or implied) that this will always be the case. Please note that this does not apply to information concerning goods for sale through our Site. 12.1.              Nothing in these Terms of Use excludes or restricts our liability for fraud or fraudulent misrepresentation, for death or personal injury resulting from negligence, or for any other forms of liability so whatever so arising, which cannot be lawfully excluded or restricted. This clause shall apply to the use of our Site by Users, and not to the purchase or sale of our products or goods. Such sale of goods is governed by our Terms and Conditions.

 

12.2.              If you are a business user:

 

12.2.1.                             We accept no liability for any loss or damage, whether foreseeable or otherwise, in contract, tort (including negligence), for breach of statutory duty, or otherwise arising out of or in connection with the use of or inability to use our Site or the use of or reliance upon any Content or User Content, included on our Site, to the fullest extent permissible in law.

 

12.2.2.                             We accept no liability for loss of profit, sales, business, or revenue; loss of business opportunity, goodwill or reputation; loss of anticipated savings; business interruption; or for any indirect or consequential loss or damage.

 

12.3.              If you are a consumer, you agree that you will not use our Site for any commercial or business purpose and that we shall have no liability to you for any business losses as set out above.  

13.               Viruses, Malware and Security

 

13.1.              Although we exercise reasonable skill and care to ensure that our Site is secure and free from viruses and malware, we do not make any guarantee in this regard.

 

13.2.              It is your responsibility to protect your hardware, software, data and other material from viruses, malware, and other internet security risks.

 

13.3.              As a User of our Site, you undertake: (i) not to deliberately introduce viruses or other malware, or any other material which is malicious or technologically harmful either to or via our Site;  (ii) not attempt to gain unauthorised access to any part of our Site, the server on which our Site is stored, or any other server, computer, or database connect to our Site; and (iii) not attach our Site by means of a denial-of-service attack, a distributed denial of service attack, or by any other means.

Any and all such breaches will be reported to the relevant law enforcement authorities, and we will cooperate fully with those authorities by disclosing your identity to them, and your right to use our Site will cease immediately.

 

14.               Acceptable Use  

14.1.           You may only use our Site in a lawful manner, which means without limitation that:

 

14.1.1.                  You must ensure that you comply fully with any and all applicable local, national, or international laws and regulations;

 

14.1.2.                  You must not use our Site in any way, or for any purpose that is unlawful or fraudulent; and

 

14.1.3.                  You must not use our Site to knowingly send, upload, or in any other way transmit data that contains any form of virus or other malware, or any other code designed to adversely affect computer hardware, software, or data of any kind.

 

14.2.           If you fail to comply with these Terms of Use, you will be in breach, and we may take one or more of the following actions in response: (i) suspend or terminate your right to use our Site or process any of your Orders; (ii) issue you with written notice; (iii) take legal proceedings against you as appropriate; (iv) disclose such information to law enforcement authorities as required or as we deem reasonably necessary; and/or (v) any other actions which we deem reasonably appropriate.

16.               Cession and Transfer 

We may transfer, assign, or cede our obligations and rights under these Terms of Use to a third party. If this occurs, we will inform you in writing. We will ensure that your rights under these Terms of Use will not be affected, and our obligations hereunder will be transferred to the third party who will remain bound by same.

17.               General Terms

 

17.1.                    You may not transfer, assign or cede your obligations and rights under these Terms of Use, as applicable, without our express prior written consent.

 

17.2.                    If any of the provisions of these Terms of Use are found to be unlawful, invalid, or otherwise unenforceable by any court or other authority, then those provision(s) shall be deemed severable from the remainder provisions. The remainder provisions shall be valid and enforceable.

 

17.3.                    No failure or delay by us in exercising any of our rights under these  Terms of Use shall mean that we have waived that right, and no waiver by us of a breach of any provision of shall constitute a waiver of subsequent breach of the same or any other provisions.

 

18.               Governing Law & Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the UK courts. All notices or other communications required to be given in terms of the law or these Terms of Use may be provided via email or electronic means and shall be in writing.
